YouTube Channel Monetization & MCN Agreement

This Agreement is made on this ___ day of ______, 20__ between:

1.  JAY FILMS PRODUCTION
   (Hereinafter referred to as “Company/Service Provider”)

AND

2. [Client/Channel Owner Name]
   (Hereinafter referred to as “Client/Creator”)

The following YouTube channel(s) owned by the Client are covered under this Agreement:

Terms & Conditions

1. Scope of Service

• The Company will provide monetization services for the Client’s YouTube channel(s) under the One Week Challenge.
• After the channel(s) are monetized, they shall be linked to the Company’s Multi-Channel Network (MCN) for the duration of this Agreement.

2. One-Time Fee

• The Client agrees to pay a non-refundable fee of INR 10,000/- (Ten Thousand Rupees only) for monetization and setup services.

3. Revenue Sharing

• Once monetization is activated and the channel(s) are under the Company’s MCN, YouTube Ad revenue shall be shared as follows:
• 70% (Seventy Percent) to the Client/Creator
• 30% (Thirty Percent) to the Company
• Payments shall be made when YouTube releases a minimum threshold of USD $100.

4. Lock-in Period

• This Agreement is valid for a fixed term of 5 (Five) years from the date of signing.
• During this period, the Client cannot remove the channel(s) from the Company’s MCN, nor transfer monetization rights to any third party without the Company’s written consent.

5. Ownership & Content Responsibility

• The Client retains full ownership of the YouTube channel(s) and their content.
• The Client confirms that all uploaded content is original and does not violate YouTube’s policies, copyright, or third-party rights.
• The Company shall only hold rights related to monetization and MCN management during the lock-in period.

6. Company Liability

• The Company guarantees to make the Client’s channel(s) eligible and approved for monetization by completing all required processes.
• The Company shall not be liable for any delay caused by YouTube’s internal review process or policy changes beyond its control.

7. Payment Settlement

• Payments will be released only after the Company receives revenue from YouTube/MCN.
• The Company will provide transparent revenue reports and transfer the Client’s 70% share accordingly.

8. Stamp Duty

• This Agreement shall be executed on a Stamp Paper purchased by the Client in their own name.
• The cost of stamp paper shall be borne by the Client.
